Introduction
These Terms of Use govern your access to and use of the free digital tools and applications provided by CareKate, LLC d/b/a CareKate Analytics (“we,” “our,” or “us”), a Limited Liability Company formed and operating in Illinois. Covered applications include the CareKate Pocket Card, the ICD-10 Chat, the HF, PN, and PSI Risk Sequencing Tools, and any other free digital tools, applications, or resources made available by CareKate Analytics from time to time (collectively, the “Tools”).
By accessing or using any of the Tools, you agree to be bound by these Terms. If you do not agree, do not use the Tools.
Intended Audience
The Tools are designed exclusively for qualified healthcare professionals and administrative staff, including physicians, advanced practice providers, clinical documentation integrity (CDI) specialists, coders, quality teams, hospital administrators, and revenue cycle professionals. They are not intended for use by patients, caregivers, students, or the general public. CareKate Analytics is not responsible for harm arising from use outside this intended professional audience.
Some Tools may require organizational access credentials. Users must not share credentials outside their authorized organization.
Informational and Educational Use Only
All content and outputs provided by the Tools are for informational and educational reference purposes only. The Tools do not constitute, and must not be relied upon as:
- Medical, clinical, or diagnostic advice
- Professional coding or billing guidance
- Compliance advice or official coding determinations
- Documentation optimization recommendations or DRG assignment guidance
Users are solely responsible for independently verifying all content, code mappings, risk variable assignments, and reference definitions against current ICD-10-CM/PCS Official Guidelines, AHA Coding Clinic, applicable CMS program manuals, payer-specific requirements, and institutional protocols before applying any output in a clinical, coding, or administrative context. All final coding, documentation, and clinical decisions remain the sole responsibility of the qualified professionals making them.
No Warranty on Accuracy or Currency
Content in the Tools reflects published clinical standards, consensus criteria, and publicly available CMS classification data as of the date of authorship or last update. CareKate Analytics makes no warranty, express or implied, that any definition, diagnostic criterion, ICD-10 code mapping, risk variable assignment, or classification is current, complete, error-free, or applicable to any specific patient or encounter. Coding guidelines, clinical standards, and CMS program specifications evolve continuously. Where applicable, content and outputs may reflect simplified or approximated representations of underlying methodologies; they are not intended to replicate certified grouper logic, official risk adjustment models, or complete regulatory specifications. Users are responsible for verifying content against authoritative sources.
No PHI — Do Not Enter Patient Information
The Tools are not HIPAA-compliant platforms and are not designed to receive, store, or process Protected Health Information (PHI). Users must not enter any PHI into the Tools, including but not limited to patient names, dates of birth, medical record numbers, Social Security numbers, dates of service, or any other individually identifiable health information. Where batch data submission is supported, all patient identifiers must be fully de-identified prior to submission.
CareKate Analytics is not a covered entity or business associate with respect to the Tools and bears no responsibility for PHI inadvertently submitted by users. PHI processed in connection with CareKate Analytics consulting engagements is governed exclusively by separate Business Associate Agreements with applicable client organizations and is not subject to these Terms.
Data Sourcing and Methodology
The risk assessment tools reference publicly available CMS data sources, including ICD-10-CM/PCS code sets, MS-DRG classification tables, Elixhauser comorbidity methodology, CMS HCC model mappings, and CMS quality measure specifications. The Tools do not replicate a certified grouper. Actual DRG assignment, risk scores, and quality measure results depend on complete encounter data and certified grouper logic and will differ from tool outputs. Users are responsible for validating all outputs against official CMS publications.
Intellectual Property
All content within the Tools, including clinical definitions, plain-language summaries, diagnostic criteria compilations, risk variable logic, ICD-10 code curation, and interface design, is the intellectual property of CareKate Analytics, unless otherwise attributed. Where content references third-party sources, including but not limited to ACDIS position papers, StatPearls, AHA Coding Clinic, and CMS program materials, those sources are attributed in accordance with standard academic citation practice. Such attribution does not imply endorsement by those organizations.
You may not copy, reproduce, distribute, modify, create derivative works from, or commercially exploit any content from the Tools without the express written permission of CareKate Analytics.
Commercial Context
The Tools are offered free of charge as professional reference resources and as a brand awareness initiative of CareKate Analytics, a healthcare quality rating and ranking improvement consulting firm. By using the Tools, users acknowledge that they are commercially sponsored resources. CareKate Analytics may use aggregate, de-identified usage data for business development and product improvement purposes.
Offline and Cached Content
Some Tools are deployed as Progressive Web Apps (PWAs) and may serve cached content when a device is offline or network connectivity is limited. Cached content may not reflect the most recent updates to definitions, code mappings, or data sources. CareKate Analytics is not responsible for decisions made based on content that has not been refreshed from the live database.
Availability
The Tools are provided free of charge on a best-effort basis. CareKate Analytics makes no guarantee of availability, uptime, performance, or continuity of service and reserves the right to modify, suspend, or discontinue any Tool or any portion of its content at any time without notice.
Disclaimer of Warranties
THE TOOLS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CAREKATE ANALYTICS DOES NOT WARRANT THAT THE TOOLS WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM SECURITY VULNERABILITIES.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CAREKATE ANALYTICS, ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE TOOLS, INCLUDING BUT NOT LIMITED TO ANY CLINICAL OUTCOME, CODING ERROR, BILLING CONSEQUENCE, AUDIT FINDING, OR REIMBURSEMENT RESULT. BECAUSE THE TOOLS ARE PROVIDED FREE OF CHARGE, THE TOTAL AGGREGATE LIABILITY OF CAREKATE ANALYTICS FOR ANY CLAIM ARISING FROM YOUR USE OF THE TOOLS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
User Obligations
By using the Tools, you agree to:
- Use the Tools solely for lawful professional reference and educational purposes consistent with these Terms
- Not enter any PHI or individually identifiable patient information into the Tools
- Not attempt to reverse engineer, scrape, or systematically reproduce the Tools or their content
- Not use automated methods to query the Tools in a manner that circumvents intended use
- Not misrepresent CareKate Analytics content as official coding guidance, regulatory policy, or institutional policy of any third party
- Verify all outputs against authoritative sources before clinical or administrative application
Privacy
Use of the Tools is also subject to the CareKate Analytics Privacy Policy, which describes how we collect, use, and disclose information, including our use of cookies and analytics. The Privacy Policy is available at carekateanalytics.com/privacy-policy.
Revisions
CareKate Analytics reserves the right to update these Terms at any time. Continued use of the Tools following any posted update constitutes acceptance of the revised Terms. We will update the “Last Updated” date below when changes are made.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law principles. If a dispute arises, the parties will first attempt resolution through good faith negotiation. If negotiation fails within sixty (60) days, disputes will be resolved by confidential binding arbitration in Cook County, Illinois, administered under the American Arbitration Association’s Commercial Arbitration Rules. The arbitrator may award costs and attorneys’ fees to a prevailing party.
